Fiji Payroll Cloud
Terms of Service
Effective date: September 11, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of the Fiji Payroll website, cloud payroll service, customer and administrative portals, support services, and related features (collectively, the "Services"). The Services are provided by Khatri Consulting LLC, doing business as Fiji Payroll Software ("Fiji Payroll," "we," "us," or "our").
By creating an account, accepting an order, accessing the Services, or using the Services, the customer organization and each authorized user agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use the Services.
An order form, subscription confirmation, proposal, statement of work, data-processing agreement, or other written agreement accepted by Fiji Payroll and the customer may contain additional terms. If there is a conflict, the more specific written agreement controls for the subject it addresses.
2. Eligibility and business use
The Services are intended for lawful business and organizational use. Users must be legally capable of entering into a binding agreement and must access the Services only for an organization that has authorized them.
3. Accounts and authorized users
Customers are responsible for:
-
Providing accurate account and organization information.
-
Designating authorized users and assigning appropriate roles and permissions.
-
Keeping login credentials confidential and preventing shared or unauthorized use.
-
Using multi-factor authentication when made available or required.
-
Promptly removing access when a user's authority ends or changes.
-
Promptly notifying Fiji Payroll of suspected compromise, misuse, or unauthorized access.
-
All activity performed through customer accounts, except to the extent caused by Fiji Payroll's breach of an applicable obligation.
A user may not attempt to access another customer, business, account, or dataset without authorization.
4. Customer data and instructions
"Customer Data" means information submitted, uploaded, imported, generated, or otherwise processed through the Services on behalf of a customer, including employee and payroll information.
As between the parties, the customer retains its rights in Customer Data. The customer grants Fiji Payroll the limited right to host, copy, transmit, process, back up, display, and otherwise use Customer Data as necessary to provide, secure, maintain, support, and improve the Services, comply with law, and perform our obligations.
The customer represents and warrants that:
-
The customer has the rights, permissions, notices, and lawful basis needed to provide Customer Data to Fiji Payroll and instruct its processing.
-
Customer Data and the customer's use of the Services comply with applicable law, employment obligations, and agreements.
-
Instructions provided to Fiji Payroll are authorized and lawful.
-
The customer will not submit data that it is prohibited from processing or disclosing.
If Customer Data relates to an employee or another individual, the customer remains responsible for responding to that person's requests unless applicable law or a written agreement requires otherwise. Fiji Payroll may assist the customer where reasonably necessary.
5. Payroll responsibility and customer verification
Fiji Payroll is a software service. The Services do not replace the customer's professional judgment, internal controls, payroll review, accounting review, tax advice, legal advice, or responsibilities as an employer.
The customer is responsible for:
-
Correctly configuring its organization, employees, pay items, tax settings, contribution settings, bank details, opening balances, pay periods, and permissions.
-
Entering complete and accurate source information.
-
Reviewing payroll calculations, exception messages, payslips, reports, payment files, filing information, and other outputs before approval, finalization, payment, submission, or distribution.
-
Confirming current legal, tax, employment, pension, contribution, filing, recordkeeping, and reporting requirements that apply to the customer.
-
Making payments, filings, remittances, and submissions by the applicable deadlines.
-
Maintaining appropriate approvals, segregation of duties, audit records, and independent backups or exports required by the customer's policies or law.
The customer must not rely on an output that it knows or reasonably should know is incomplete or incorrect. The customer must promptly report suspected calculation or data issues and provide sufficient information for investigation.
6. Acceptable use
Customers and users must not:
-
Use the Services unlawfully, fraudulently, deceptively, or to infringe another person's rights.
-
Access, test, scan, probe, disrupt, or circumvent security or access controls without Fiji Payroll's prior written authorization.
-
Introduce malware, harmful code, or data intended to interfere with the Services.
-
Attempt to obtain source code, underlying structure, or non-public APIs except where such restriction is prohibited by law.
-
Copy, resell, sublicense, rent, or provide the Services to an unauthorized third party.
-
Use automated means to extract data or place unreasonable load on the Services except through an authorized feature or written agreement.
-
Remove ownership notices or misrepresent the source or operation of the Services.
-
Use the Services to develop or train a competing product using non-public aspects of the Services.
-
Upload content that is unlawful, malicious, or outside legitimate payroll, employment, accounting, or business administration purposes.
We may investigate suspected misuse and may restrict access where reasonably necessary to protect the Services, customers, users, or others.
7. Subscriptions, fees, taxes, and payment
Subscription plans, authorized business entities, usage limits, fees, billing frequency, renewal terms, and included support are stated in the applicable order, proposal, subscription confirmation, or pricing terms accepted by the customer.
Unless otherwise stated in an applicable written agreement:
-
Fees are due according to the invoice or checkout terms.
-
The customer is responsible for applicable taxes, duties, levies, and similar governmental charges, excluding taxes based on Fiji Payroll's net income.
-
Failure to pay an undisputed amount when due may result in suspension or termination after any notice required by the applicable agreement or law.
-
Changes to a subscription or customer usage may affect future charges.
-
Fees already paid are non-refundable except where required by law or expressly stated in a written agreement.
8. Trials, previews, and beta features
A trial, preview, early-access feature, or beta feature may be limited, changed, suspended, or discontinued. Such features may contain errors and are provided for evaluation unless expressly approved for production use. Additional terms or notices may apply.
Do not use a trial or beta environment for live payroll data unless Fiji Payroll has expressly authorized that use in writing.
9. Service changes and availability
We may maintain, update, secure, modify, or improve the Services. We may change or discontinue a feature where reasonably necessary for security, legal compliance, reliability, vendor changes, or product development. Where practical and appropriate, we will provide notice of a material change that significantly reduces core paid functionality.
We aim to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. Access may be affected by maintenance, internet or telecommunications failures, third-party services, security events, emergencies, or circumstances beyond reasonable control.
10. Support
Support channels, response arrangements, onboarding, training, migration assistance, and other professional services are governed by the customer's plan or separate written agreement. Support does not transfer the customer's responsibility to review payroll inputs and outputs or make required filings and payments.
For support, contact support@fijipayroll.com. Do not send passwords, full bank-account details, complete tax identifiers, or unnecessary sensitive employee information through ordinary email.
11. Security and privacy
Each party will use reasonable safeguards appropriate to its role. The customer is responsible for its devices, networks, users, account settings, access approvals, exports, and any third-party system to which Customer Data is sent at the customer's direction.
Our Privacy Policy explains our personal-information practices. A separate data-processing or security agreement may apply where agreed in writing.
12. Confidentiality
Each party may receive non-public information that is identified as confidential or that reasonably should be understood to be confidential. The receiving party will use that information only to perform or receive the Services, protect it using reasonable care, and disclose it only to personnel, advisers, and service providers who need it and are bound by appropriate obligations.
Confidentiality obligations do not apply to information that the receiving party can demonstrate was lawfully known without restriction, independently developed, rightfully received from another source, or made public without breach. A party may disclose information where required by law, subject to legally permitted notice and reasonable cooperation.
13. Intellectual property
Fiji Payroll and its licensors retain all rights in the Services, software, interfaces, documentation, designs, trademarks, and related technology, excluding Customer Data. No rights are granted except the limited right to use the Services during an active subscription in accordance with these Terms and the applicable agreement.
If a customer or user provides feedback, Fiji Payroll may use it without restriction or payment, provided we do not identify the customer publicly without permission.
14. Third-party services
The Services may rely on or link to third-party services. A customer's use of a third-party service is governed by that provider's terms and privacy practices. Fiji Payroll is not responsible for a third-party service outside our control. Enabling an integration or export authorizes Fiji Payroll to exchange Customer Data as directed by the customer's authorized user.
15. Suspension
We may suspend or restrict access where reasonably necessary to:
-
Address a security threat or suspected unauthorized access.
-
Prevent unlawful, fraudulent, abusive, or harmful activity.
-
Protect the Services, Customer Data, customers, users, or third parties.
-
Comply with law or a valid governmental request.
-
Address material breach of these Terms or non-payment under the applicable agreement.
Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to cure. Emergency protective action may be taken without advance notice.
16. Term and termination
These Terms apply while the customer or user accesses the Services. Subscription duration, renewal, cancellation, and termination rights are stated in the applicable agreement.
Either party may terminate for a material breach that is not cured within any applicable cure period. Fiji Payroll may terminate or suspend access if continued service would violate law, create a material security risk, or expose Fiji Payroll or others to material harm.
On termination or expiration:
-
The customer's right to use the Services ends.
-
Outstanding amounts remain due.
-
The customer must stop using and accessing the Services.
-
Customer Data will be handled under the applicable agreement, Privacy Policy, and established retention and deletion procedures.
-
Provisions that by their nature should survive will remain in effect, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnity, and dispute terms.
The customer is responsible for exporting required Customer Data before service ends or within any retrieval period stated in the applicable agreement.
17. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available." Fiji Payroll disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Fiji Payroll does not warrant that the Services will be uninterrupted or error-free, that every issue will be corrected, or that an output will satisfy every customer's legal, tax, accounting, employment, reporting, or filing obligations without customer configuration and review.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
18. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or anticipated savings, arising from or related to the Services, even if advised that such loss was possible.
To the maximum extent permitted by applicable law, Fiji Payroll's total aggregate liability arising from or related to the Services will not exceed the fees paid or payable by the customer to Fiji Payroll for the affected Services during the twelve months immediately before the event giving rise to the claim.
The limitations in this section do not apply to liability that cannot lawfully be limited. A separate written agreement may state different liability terms, in which case that agreement controls.
19. Indemnity
To the extent permitted by law, the customer will defend and indemnify Fiji Payroll and its personnel against third-party claims, damages, and reasonable costs arising from the customer's unlawful Customer Data, unlawful use of the Services, violation of another person's rights, or material breach of Sections 3, 4, or 6 of these Terms. Fiji Payroll will provide reasonable notice and cooperation, and the customer may not settle a claim in a way that admits fault by or imposes an obligation on Fiji Payroll without our written consent.
20. Governing law and disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any non-waivable rights or procedures under applicable law, the state and federal courts located in Orange County, California will have exclusive jurisdiction over disputes arising from or related to these Terms or the Services, and each party consents to that jurisdiction and venue.
Before filing a claim, each party will make a good-faith effort to resolve the dispute through written notice and direct discussion. Either party may seek urgent injunctive or protective relief where appropriate.
21. Export, sanctions, and legal compliance
Customers and users must comply with applicable trade, export-control, sanctions, anti-corruption, employment, tax, privacy, and other laws. The Services may not be used by or for a prohibited person, entity, country, or purpose.
22. Notices
We may provide service notices through the Services, by email to the account contact, or by posting an updated notice where legally appropriate. Customers are responsible for keeping account contact information current.
Legal notices to Fiji Payroll should be sent to support@fijipayroll.com with the subject "Legal Notice." Email alone does not constitute formal service of legal process unless Fiji Payroll agrees in writing or applicable law requires otherwise.
23. Changes to these Terms
We may update these Terms to reflect changes in the Services, business practices, security requirements, or law. We will post the revised Terms and update the effective date. If a change is material, we will provide additional notice where required by law or contract. Continued use after the updated Terms take effect constitutes acceptance to the extent permitted by law.
24. General terms
Neither party may assign these Terms without the other's consent, except that Fiji Payroll may assign them in connection with a merger, reorganization, sale of assets, or transfer of the Services. These Terms do not create a partnership, joint venture, employment, agency, or fiduciary relationship.
If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms and incorporated written agreements form the entire agreement on their subject matter and replace prior discussions on that subject.
